This Independent Contractor Agreement ("Agreement") is entered into as of June 9, 2026 ("Effective Date"), by and between:

The Hiring Party engages the Contractor as an independent contractor to perform the services described in this Agreement. The Contractor shall commence services on June 9, 2026 and the term of this Agreement shall continue through June 9, 2027. The Contractor is not an employee and shall not be entitled to any employee benefits.

The Contractor shall be entitled to 2 revisions per deliverable. Additional revisions shall require mutual written agreement.
The Hiring Party shall pay the Contractor $____ per hour for the services rendered under this Agreement. Payment shall be made on a Net 30 basis. The Contractor is solely responsible for all applicable taxes, including self-employment taxes.
All work product, inventions, designs, and other materials created by the Contractor in connection with this Agreement ("Work Product") shall be the exclusive property of the Hiring Party. The Contractor hereby assigns, transfers, and conveys to the Hiring Party all right, title, and interest in and to the Work Product, including all intellectual property rights therein. The Contractor shall execute any documents reasonably requested by the Hiring Party to effectuate this assignment.
The Contractor acknowledges that during the course of performing services, the Contractor may have access to confidential and proprietary information of the Hiring Party ("Confidential Information"). The Contractor agrees to hold all Confidential Information in strict confidence and shall not disclose, publish, or otherwise disseminate it to any third party without the prior written consent of the Hiring Party. This obligation shall survive the termination of this Agreement for a period of two (2) years.
The Contractor is an independent contractor and not an employee, partner, or agent of the Hiring Party. The Contractor shall be solely responsible for determining the method, manner, and means of performing the services. The Contractor shall not be entitled to any benefits provided to employees of the Hiring Party, including but not limited to health insurance, retirement benefits, or workers' compensation.
Either party may terminate this Agreement by providing 14 days' written notice to the other party. Upon termination, the Contractor shall be compensated for all services performed and expenses incurred prior to the effective date of termination. The Hiring Party shall pay any outstanding amounts within thirty (30) days of the termination date.
This Agreement shall be governed by and construed in accordance with the laws of the State of ____________________. Any disputes arising under this Agreement shall be resolved in the appropriate courts located within the governing state.
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements, representations, and understandings. No modification of this Agreement shall be effective unless made in writing and signed by both parties.
